In accordance with applicable provisions of the Uniform Commercial Code as enacted in Florida, Webster Acquisition Holdings LLC (“Lender”) will offer for sale, at public auction, all membership interests, including all economic rights and governance rights (if any) associated therewith (collectively, the “Collateral”), in and to Webster Holding Group, LLC, a Mississippi limited liability company (“Debtor”), which owns, among other things, Webster Electric Co. LLC, a Mississippi limited liability company, and WEBCO Leasing & Supply LLC, a Mississippi limited liability company.
The public auction will be held on November 22, 2022 at 11:00 am (EST), by remote auction via Cisco WebEx Remote Meeting:

And the Collateral will be sold to the highest qualified bidder; provided, however, that Lender reserves the right to cancel the sale in its entirety, or to adjourn the sale to a future date.
The sale will be conducted by Mannion Auctions, LLC, Matthew D. Mannion, professional auctioneer, in conjunction with Michael Moecker & Associates, Inc.
This sale is being held to enforce Lender’s rights in the Collateral as a result of the indebtedness of Debtor to Lender, following Debtor’s defaults under the applicable loan documents. The Collateral will be sold together in a single block, and there is no warranty or representations relating to title, possession, quiet enjoyment, merchantability, fitness, or the like in this disposition.
Lender reserves the right for itself and any assignee to bid (whether by cash and/or crediting some or all of the secured obligations) and to become the purchaser at the sale.

Upon execution of a standard confidentiality and non-disclosure agreement, additional documentation and information will be available. Interested parties who do not contact Lender’s counsel prior to the sale will not be permitted to enter a bid.
None of the Collateral has been registered for sale under any federal or state securities or blue sky laws, and as such may not be sold or otherwise transferred by Lender or a purchaser of any Collateral except in accordance with applicable law.
